The agreement that covers using Unlok. It is written to be read, not skimmed, and it says what we do and what we ask of you.
These terms are a contract between you and Hex Innovation Limited, the company that builds and operates Unlok. They cover the Unlok website, the app, the API gateway, the CLI, the editor extension, the Browser Agent and the chat connectors (together, the Service). By creating an account or sending a request through the Service you accept them, together with our Privacy Policy.
If you use the Service on behalf of a company, you confirm you have authority to bind it, and "you" means that company. Enterprise customers with a signed order form are governed by that order form where it differs from these terms.
You must be at least eighteen and give accurate details when you sign up. You are responsible for everything done with your account and your API keys, so keep them secret, rotate a key the moment you suspect it has leaked, and tell us right away if you believe your account has been accessed without permission.
The Service offers a free tier, paid subscriptions and prepaid wallet balances. Subscriptions renew automatically each billing period until cancelled from your account. Usage is charged against your wallet at the rates shown in the model catalogue at the time of the request, plus any platform fee shown on the pricing page for your plan.
Payments are processed by Stripe or Paystack. Wallet top ups are not refundable once used. Contact us to ask about a refund of an unused prepaid balance. If we change prices we tell you before the change applies to your plan. Taxes are added where the law requires.
Where usage is capped, requests over the cap are refused rather than billed. Where a hard spend limit is set by a workspace admin, requests beyond it are blocked until the limit is raised.
You may connect your own credentials for a model provider. When you do, that provider bills you directly under its own terms, and Unlok charges only the platform fee for your plan. You are responsible for those credentials, for staying within the provider's usage policies, and for the charges the provider makes. We store your keys encrypted and use them only to send your workspace's requests.
You agree not to use the Service to:
We may throttle or suspend access that puts the Service or a provider relationship at risk, and we will tell you why unless the law prevents it.
You own the prompts you send, the memories and rules you write, and, to the extent the law allows, the outputs the models return to you. You grant us a licence to store, process and transmit that content only as needed to run the Service for you, including sending prompts to the provider you chose, caching repeated requests and populating Optimus for your workspace. We do not use your content to train models.
Model outputs are generated by third party providers and can be wrong. You are responsible for reviewing them before you rely on them, and for any code or content you ship.
A workspace admin controls who joins, the roles they hold, which models are allowed, spend limits, logging levels, retention windows and the rules Optimus enforces. Admins can see workspace usage, memories and the audit log. When you join a workspace you accept that its admins have these controls over the work you do inside it.
The Service scans outbound requests for credentials and other secrets and may block a request that matches. Workspace policies marked as enforced are applied in code and may also block or alter a request. These protections reduce risk but do not guarantee that nothing sensitive ever leaves your workspace, and they do not replace your own review.
We work to keep the Service available and to route around provider outages, but models, providers and features change, and some parts of the Service are offered in preview. We may add, change or retire features, models or providers. Where a change removes something you pay for, we tell you in advance and you may cancel and receive a refund of any unused prepaid amount.
The Service, its software, design and brand belong to Hex Innovation Limited and its licensors. We grant you a limited, revocable licence to use the Service under these terms. Open source components are provided under their own licences.
If you send us feedback or suggestions we may use them freely, without obligation to you.
The Service is provided as is and as available. To the extent the law allows we disclaim all implied warranties, including fitness for a particular purpose and the accuracy of model outputs.
To the extent the law allows, neither party is liable for indirect, special or consequential loss, and our total liability for all claims in any twelve month period is limited to the amount you paid us in that period. Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for anything that cannot be limited by law.
You agree to cover us against claims that arise from your content, your use of the Service in breach of these terms, or your breach of a provider's usage policy.
You can close your account at any time from settings. We may suspend or end your access if you breach these terms, if we are required to by law, or if a provider withdraws a model your workspace depends on and no alternative is available. On termination your right to use the Service ends, and the sections on content, intellectual property, warranties and liability continue to apply. Data handling after closure is set out in the Privacy Policy.
These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have exclusive jurisdiction, except that either party may seek an injunction anywhere to protect its intellectual property or confidential information. If any part of these terms is found unenforceable, the rest still applies, and a failure to enforce a term is not a waiver of it.
We may update these terms. When we do, we change the date at the top and, for changes that materially affect you, notify you by email or in the app before they apply. Continuing to use the Service after that means you accept the new terms.
